Welcome to Polaris SIP Voice LLC ("Polaris SIP Voice LLC," "Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to our website and your use of our telecommunications and communication services.

By accessing our website, creating an account, purchasing services, or using any of our products or services, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not use our website or services.

2. Our Services

Polaris SIP Voice LLC provides enterprise and wholesale communication solutions, including but not limited to:

  • Voice Termination
  • SIP Trunking Solutions
  • DID & Toll-Free Number (TFN) Origination
  • SMS Solutions
  • WhatsApp Business Solutions
  • Email Marketing Services
  • Domestic & International Voice Connectivity
  • STIR/SHAKEN Enabled Calling Services
  • Enterprise Voice Communication Services
  • Carrier and Wholesale VoIP Services

Service availability may vary depending on destination, regulatory requirements, carrier availability, and technical limitations.

3. Eligibility

You must:

  • Be at least 18 years of age.
  • Have legal authority to enter into binding agreements.
  • Provide accurate registration information.
  • Maintain updated account information.
  • Comply with all applicable local, national, and international laws.

Businesses registering on behalf of an organization confirm they have the authority to bind that organization to these Terms.

4. Customer Account

Customers are responsible for:

  • Maintaining account confidentiality.
  • Protecting usernames and passwords.
  • Restricting unauthorized account access.
  • Promptly notifying us of any suspected security breach.
  • Ensuring account information remains accurate.

The customer is responsible for all activities performed through their account.

5. Acceptable Use Policy

Customers agree not to use our services for:

  • Illegal activities.
  • Fraudulent telecommunications.
  • Caller ID spoofing except where legally authorized.
  • Robocalls violating applicable regulations.
  • Spam or unsolicited messaging.
  • SMS phishing (Smishing).
  • Voice phishing (Vishing).
  • Malware distribution.
  • Transmission of harmful or unlawful content.
  • Harassment or abusive communications.
  • Copyright infringement.
  • Network abuse.
  • Denial-of-service attacks.
  • Unauthorized access to networks.
  • Any activity violating telecommunications regulations.

Any violation may result in immediate suspension or termination without prior notice.

6. Telecom Compliance

Customers are solely responsible for complying with all applicable telecommunications laws within the jurisdictions where they operate.

This includes, where applicable:

  • Anti-spam regulations
  • Telemarketing laws
  • Consumer protection requirements
  • Data privacy regulations
  • Call recording laws
  • Messaging consent requirements
  • Number portability rules
  • International telecom regulations

Polaris SIP Voice LLC does not assume responsibility for customer compliance obligations.

7. STIR/SHAKEN Compliance

Where supported, Polaris SIP Voice LLC provides STIR/SHAKEN implementation to improve caller authentication.

Customers agree:

  • Not to misuse authenticated calling.
  • Not to falsify caller identity.
  • To provide accurate caller identification information.
  • To comply with all applicable authentication regulations.

We reserve the right to revoke authentication privileges for fraudulent or abusive activity.

8. Voice Services

Voice routing is provided on a commercially reasonable basis.

Because telecommunications involve multiple interconnected carriers, Polaris SIP Voice LLC cannot guarantee:

  • Continuous service availability.
  • Specific call completion rates.
  • Particular network routes.
  • Uninterrupted connectivity.
  • Call quality affected by third-party networks.

We continuously monitor and optimize network performance to provide reliable services.

9. SIP Trunking

Customers are responsible for:

  • Proper SIP configuration.
  • Securing SIP credentials.
  • Protecting PBX systems.
  • Preventing unauthorized usage.
  • Maintaining compatible equipment.

Charges resulting from compromised customer systems remain the customer's responsibility.

10. DID and Toll-Free Numbers

Allocation of DID and Toll-Free Numbers is subject to:

  • Regulatory approval.
  • Carrier availability.
  • Number inventory.
  • Geographic restrictions.

Polaris SIP Voice LLC retains the right to reclaim unused numbers where permitted by applicable regulations or contractual agreements.

Number portability is subject to carrier policies and regulatory requirements.

11. SMS, WhatsApp and Email Marketing

Customers using messaging services agree:

  • To obtain all required recipient consent.
  • To comply with anti-spam laws.
  • Not to send unsolicited communications.
  • Not to distribute prohibited content.
  • To honor unsubscribe requests where applicable.

Customers are solely responsible for all message content transmitted using our platform.

12. Payments

Customers agree to:

  • Pay all invoices by the due date.
  • Maintain valid payment information.
  • Pay applicable taxes, duties, and governmental fees unless exempt.

Late payments may result in:

  • Service suspension.
  • Account restrictions.
  • Interest or late fees where permitted by law.
  • Collection actions.

13. Refund Policy

Unless otherwise agreed in writing:

  • Setup fees are non-refundable.
  • Monthly service charges are non-refundable.
  • Usage-based charges are non-refundable once services have been consumed.
  • Refund requests are evaluated on a case-by-case basis.

Approved refunds will be processed using the original payment method whenever possible.

14. Service Suspension

We reserve the right to suspend or restrict services immediately if:

  • Payments remain overdue.
  • Fraudulent activity is suspected.
  • Network abuse is detected.
  • Legal compliance requires suspension.
  • Customer activity threatens network integrity.
  • Regulatory authorities request suspension.

Emergency suspensions may occur without prior notice.

15. Intellectual Property

All content, software, trademarks, logos, graphics, documentation, and website materials remain the exclusive property of Polaris SIP Voice LLC or its licensors.

No ownership rights are transferred to customers.

Customers may not reproduce, distribute, modify, reverse engineer, or commercially exploit our intellectual property without prior written permission.

16. Confidentiality

Each party agrees to protect confidential information received from the other party.

Confidential information shall not be disclosed except :

  • With prior written consent.
  • As required by law.
  • To authorized employees, contractors, or service providers who have a legitimate business need and are bound by confidentiality obligations.

17. Limitation of Liability

To the maximum extent permitted by law, Polaris SIP Voice LLC shall not be liable for:

  • Indirect damages.
  • Incidental damages.
  • Consequential damages.
  • Lost profits.
  • Lost business opportunities.
  • Loss of data.
  • Service interruptions caused by third parties.
  • Carrier failures.
  • Internet outages.
  • Force majeure events.

Our total liability shall not exceed the amount paid by the customer for the affected service during the three (3) months immediately preceding the event giving rise to the claim.

18. Indemnification

Customers agree to indemnify, defend, and hold harmless Polaris SIP Voice LLC, its officers, directors, employees, affiliates, agents, and partners from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Customer misuse of services.
  • Violations of these Terms.
  • Violations of applicable laws or regulations.
  • Customer content or communications.
  • Intellectual property infringement caused by the customer.

19. Force Majeure

Neither party shall be liable for delays or failures resulting from events beyond reasonable control, including:

  • Natural disasters
  • War
  • Terrorism
  • Civil unrest
  • Government actions
  • Power failures
  • Internet disruptions
  • Carrier outages
  • Cyberattacks
  • Labor disputes
  • Pandemics

Performance obligations shall resume once the affected event has ended.

20. Privacy

Customer information is handled in accordance with our Privacy Policy.

By using our services, customers acknowledge and agree to our data collection, processing, and security practices as described in the Privacy Policy.

21. Termination

Either party may terminate services in accordance with any applicable service agreement.

Polaris SIP Voice LLC may terminate services immediately if:

  • These Terms are violated.
  • Fraudulent activity is identified.
  • Required by law.
  • Continued service presents security or regulatory risks.

Termination does not relieve customers of outstanding payment obligations.

22. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws applicable to Polaris SIP Voice LLC's principal place of business, unless otherwise required by mandatory local law or a separate written agreement.

Any disputes shall be resolved through the courts or other dispute resolution mechanisms having jurisdiction over the Company's principal place of business, unless otherwise agreed in writing.

23. Changes to These Terms

We may revise these Terms at any time to reflect legal, operational, or business changes.

Updated Terms become effective upon publication on our website. Continued use of our services after publication constitutes acceptance of the revised Terms.

24. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

25. Entire Agreement

These Terms, together with any applicable Service Agreement, Order Form, Acceptable Use Policy, Privacy Policy, and other written agreements between the parties, constitute the entire agreement relating to the use of our services and supersede all prior understandings regarding the same subject matter.
